1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Clinicpoints Limited governing your access to and use of the CoreNote mobile application and related services ("Application").

By downloading, installing, accessing, or using the Application, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you must immediately stop using the Application.

2. ELIGIBILITY AND AUTHORISED USE

CoreNote is intended for business, professional, educational, organisational, and personal productivity use.

By using the Application, you represent and warrant that:

• You are at least sixteen (16) years of age;
• You have the legal capacity and authority to enter into these Terms;
• And you will use the Application only for lawful and authorised purposes.

You are solely responsible for ensuring your use of the Application complies with:

• Applicable laws and regulations;
• Workplace or organisational policies;
• Confidentiality obligations;
• And contractual or professional requirements.

3. NATURE OF THE APPLICATION

CoreNote is an AI-powered transcription, dictation, note-taking, summarisation, and productivity application designed to assist users with:

• Voice transcription,
• Audio-to-text conversion,
• Meeting notes,
• Business documentation,
• Content organisation,
• AI-generated summaries,
• And workflow productivity tasks.

The Application may process data locally on-device and may also utilise optional cloud-based AI services depending on selected features and user configuration.

All outputs generated by the Application are assistive in nature only and may contain inaccuracies, omissions, or formatting issues.

4. GENERAL DISCLAIMER

The Application is provided solely as a productivity and transcription assistance tool.

AI-generated outputs, transcripts, summaries, recommendations, and generated content may be inaccurate, incomplete, misleading, outdated, or inappropriate for your intended use.

You are solely responsible for independently reviewing, verifying, correcting, and approving all outputs before:

• Sharing them with third parties;
• Publishing or distributing content;
• Using them in professional, legal, financial, operational, or commercial contexts;
• Or relying upon them for business or personal decisions.

No content generated by the Application constitutes legal, financial, accounting, tax, compliance, employment, or professional advice.

5. USER RESPONSIBILITY

You acknowledge and agree that you retain full responsibility for:

• All decisions, actions, and outcomes arising from use of the Application;
• The legality, accuracy, and appropriateness of uploaded or generated content;
• Compliance with confidentiality and data protection obligations;
• And any reliance placed on AI-generated outputs.

You agree to:

• Independently verify all generated content before use;
• Ensure you have lawful rights and permissions to upload, process, or record any content;
• Obtain any legally required consents for recordings or transcriptions;
• And comply with all applicable laws and regulations.

Clinicpoints Limited accepts no responsibility for losses, damages, disputes, liabilities, or consequences arising from reliance on Application outputs.

6. AI SYSTEMS AND TECHNOLOGY

The Application incorporates and interacts with various artificial intelligence technologies, speech recognition systems, and productivity tools, including but not limited to:

• Whisper speech recognition and transcription models;
• NVIDIA Parakeet speech recognition models;
• Apple Foundation Models;
• Natural language processing and summarisation systems;
• And SQLite-based local storage technologies.

These systems are probabilistic in nature and may produce incomplete, inaccurate, inconsistent, or unpredictable outputs.

Clinicpoints Limited does not guarantee:

• Accuracy;
• Reliability;
• Availability;
• Consistency;
• Performance;
• Or suitability for any particular purpose or workflow.

7. AI MODEL LIMITATIONS AND DISCLAIMERS

You expressly acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or inappropriate.
• AI-generated content must not be relied upon as legal, financial, compliance, business, tax, employment, or professional advice.
• AI systems may occasionally generate biased, offensive, incorrect, or harmful content despite implemented safeguards.
• You remain solely responsible for reviewing and verifying all outputs before use or reliance.
• Any code, scripts, workflows, technical recommendations, or generated solutions must be independently reviewed and tested prior to implementation.
• AI-generated responses are probabilistic and may not reflect current laws, regulations, standards, or factual information.

CoreNote and Clinicpoints Limited shall not be responsible for any actions, losses, liabilities, disputes, or consequences arising from reliance on AI-generated outputs.

8. DATA PROCESSING AND PRIVACY

The Application may process information locally on your device and may also utilise optional cloud-based AI or transcription services depending on enabled features.

Where cloud-based processing is used:

• Audio recordings, transcripts, prompts, uploaded files, and related content may be transmitted to third-party service providers for processing;
• Processing may occur outside your jurisdiction;
• And third-party providers may apply their own privacy, retention, and security practices.

You are solely responsible for:

• Securing your device and account credentials;
• Ensuring lawful use of uploaded or recorded content;
• Obtaining all necessary permissions and consents for recordings or transcriptions;
• And complying with all applicable privacy, confidentiality, employment, and data protection laws.

You further acknowledge that:

• Cloud-based AI features involve transmission of data to external systems;
• You are responsible for ensuring you have the lawful right to upload all content into the Application;
• And you are solely responsible for any consequences arising from sharing or distributing AI-generated outputs.

9. SUBSCRIPTIONS AND PAYMENTS

CoreNote may offer subscription-based plans, premium AI functionality, and one-time lifetime purchases through the Apple App Store.

Recurring Billing

• Subscriptions renew automatically unless cancelled at least twenty-four (24) hours before the end of the active billing period.
• Renewal charges are applied to your Apple ID account within twenty-four (24) hours before renewal.
• Subscription management, upgrades, downgrades, and cancellations are managed through your App Store account settings.

Pricing and Transactions

• Current pricing is displayed within the Application prior to purchase confirmation.
• Pricing may vary based on region, currency, taxes, or promotional availability.
• Payments are securely processed by Apple through your Apple ID account.
• Clinicpoints Limited does not collect or store payment card or billing information.

Cancellation Policy

• You may cancel subscriptions at any time through your Apple account settings.
• Cancellation becomes effective at the end of the current paid billing period.
• Access to premium features continues until the active subscription term expires.
• No partial refunds or credits are provided for unused subscription periods.

Refunds

• Refund requests are handled exclusively by Apple under App Store policies.
• Refund requests may be submitted through reportaproblem.apple.com.
• Clinicpoints Limited does not directly process or approve refunds.

Service and Pricing Changes

• Clinicpoints Limited reserves the right to modify subscription plans, pricing structures, or feature availability with reasonable notice.
• Changes apply prospectively and will not affect an already active billing cycle.

10. ACCEPTABLE USE POLICY

You agree not to use the Application or its AI capabilities to:

• Violate applicable laws, regulations, or third-party rights;
• Produce unlawful, abusive, discriminatory, harmful, or deceptive content;
• Generate fraudulent, misleading, or malicious material;
• Create malware, spam, automated abuse systems, or harmful software;
• Interfere with or impair Application functionality, stability, or security;
• Reverse engineer, decompile, disassemble, extract, or recreate Application systems or AI models;
• Infringe copyrights, trademarks, patents, or intellectual property rights;
• Attempt to infer proprietary training data, confidential algorithms, or model architecture;
• Or perform automated scraping, harvesting, or systematic extraction of Application outputs or content.

11. INTELLECTUAL PROPERTY

All intellectual property rights, title, and interests in and to the Application, including software, branding, interfaces, AI integrations, documentation, and associated technologies, remain the exclusive property of Clinicpoints Limited and its licensors.

You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Application solely for its intended authorised purpose.

You may not:

• Copy,
• Modify,
• Redistribute,
• Reverse engineer,
• Decompile,
• Disassemble,
• Or attempt to extract source code, proprietary systems, or underlying AI models from the Application.

12. DISCLAIMER OF WARRANTIES

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINICPOINTS LIMITED DISCLAIMS ALL WARRANTIES INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• SECURITY;
• AND CONTINUOUS AVAILABILITY.

Clinicpoints Limited does not guarantee that:

• The Application will meet your expectations or operational requirements;
• AI-generated outputs will always be accurate, complete, or appropriate;
• The Application will operate uninterrupted or error-free;
• Third-party infrastructure or integrations will remain continuously available;
• Or transmitted data will remain fully secure at all times.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:

• CORENOTE AND CLINICPOINTS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• WE SHALL NOT BE LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, LOST PROFITS, LOSS OF GOODWILL, REPUTATIONAL DAMAGE, OR COMMERCIAL LOSSES;
• WE SHALL NOT BE LIABLE FOR DECISIONS MADE BASED ON AI-GENERATED CONTENT OR TRANSCRIPTIONS;
• WE SHALL NOT BE RESPONSIBLE FOR THIRD-PARTY SERVICES, PROVIDERS, OR INFRASTRUCTURE;
• THESE LIMITATIONS APPLY EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. LIABILITY CAP

Where liability cannot lawfully be excluded, the total aggregate liability of Clinicpoints Limited arising out of or relating to the Application shall not exceed the total amount paid by you for the Application during the twelve (12) months preceding the event giving rise to the claim.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Clinicpoints Limited, CoreNote, and their officers, directors, employees, contractors, affiliates, licensors, and representatives from and against all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from:

• Your use or misuse of the Application;
• Your violation of these Terms;
• Your misuse of AI-generated outputs;
• Your breach of legal, contractual, or regulatory obligations;
• Or your infringement of any rights belonging to third parties.

16. FOUNDATION AI MODELS AND THIRD-PARTY TECHNOLOGY NOTICES

16.1 Use of Third-Party AI Models

The Application integrates certain third-party artificial intelligence and speech recognition technologies to support transcription, dictation, summarisation, and productivity workflows.

Such technologies may include:

• Whisper speech recognition and transcription models;
• NVIDIA Parakeet speech recognition models developed by NVIDIA Corporation;
• Apple Foundation Models;
• And additional AI technologies integrated from time to time.

16.2 Licensing and Attribution

Certain AI technologies incorporated into the Application may be subject to separate licensing terms and third-party conditions.

• Whisper models may be utilised in accordance with applicable open-source licensing terms.
• NVIDIA Parakeet models may be distributed under NVIDIA Community Model License terms and/or Creative Commons licensing frameworks where applicable.

All trademarks, copyrights, and intellectual property rights remain the property of their respective owners.

16.3 AI Services Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL FOUNDATION MODELS, AI OUTPUTS, TRANSCRIPTION SERVICES, AND ASSOCIATED TECHNOLOGIES ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND WITHOUT WARRANTIES OF ANY KIND.

Clinicpoints Limited and its licensors expressly disclaim warranties relating to:

• Accuracy;
• Speech recognition quality;
• Reliability;
• Availability;
• System integrity;
• Performance;
• And non-infringement.

16.4 Mandatory User Verification

AI-generated outputs are automated interpretations and are not substitutes for independent human review and judgment.

Users must independently review, verify, validate, and approve all generated outputs prior to:

• Sharing content externally;
• Publishing materials;
• Making business or operational decisions;
• Using outputs in contractual, legal, financial, or professional contexts;
• Or relying on outputs for important activities.

Neither Clinicpoints Limited nor any third-party model provider shall be liable for:

• Errors;
• Omissions;
• Incorrect transcriptions;
• Misinterpretations;
• Business losses;
• Reputational harm;
• Or damages arising from reliance on AI-generated outputs without independent human verification.

17. UPDATES TO THESE TERMS

Clinicpoints Limited reserves the right to modify or update these Terms at any time.

Where legally required, notice of material changes may be provided through the Application, website, or related services.

Your continued use of the Application following updates constitutes acceptance of the revised Terms.

18. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Ireland.

Any disputes arising from or relating to these Terms or the Application shall be subject to the exclusive jurisdiction of the courts of Ireland.
